Terms and Conditions

These Terms and Conditions govern all products and services provided by Henderson & Dick Designs Limited (trading as HND Designs) (“we”, “us”, “our”) to you (“client”, “you”).

By placing an order, approving a quotation/proof, or making payment, you agree to these terms in full.


1. Services and Products

We provide custom manufacturing services including but not limited to:

All work is based on written quotations or order confirmations. Anything not explicitly agreed in writing is not included.


2. Quotations, Orders, and Payment Terms

No production or engraving will commence without the agreed deposit.

We reserve the right to:

Invoices are due within 7–30 days (as stated on invoice). Late payments may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 and recovery costs.


3. Order Confirmation and Proofs

Production begins only after written confirmation (email/order acceptance) and deposit receipt.

Digital proofs/artwork approvals are provided where applicable. Client approval is final — we are not liable for errors noticed after approval.

Changes after approval may incur additional charges and delay production.


4. Production Timelines and Delivery

Lead times are estimates based on current workload and material availability.

Delays may occur due to:

We are not liable for consequential losses from delays. Delivery is via courier/royal mail (tracked where possible); risk passes on dispatch.


5. Client Responsibilities

The client agrees to:

Failure may result in delays, extra costs, or cancellation without refund of deposit.


6. Materials and Tolerances

We use high-quality materials, but minor variations in colour, finish, or engraving depth may occur due to material properties or process.

We are not liable for natural wear, environmental damage, or misuse after delivery.


7. Ownership and Intellectual Property

Ownership of finished goods transfers only after full payment.

Until paid in full:

We retain rights to photograph/show completed work in our portfolio/marketing.


8. Cancellations and Refunds

Deposits are non-refundable once production (e.g., materials ordered, setup begun) has started.

If cancelled before production: deposit may be partially refunded less admin costs.

Completed/custom orders are non-cancellable/non-refundable.


9. Limitation of Liability

We are not liable for:

Our total liability is limited to the order value paid.


10. Indemnity

You indemnify us against claims arising from your supplied content, infringement, or breach of these terms.


11. Force Majeure

We are not liable for delays/failures due to events beyond control (e.g., supply shortages, strikes, natural disasters).


12. Governing Law

These terms are governed by the laws of Scotland. Disputes subject to the exclusive jurisdiction of Scottish courts.
